At‑a‑Glance

  • These Terms govern your use of ijayMD.com and related pages/tools (the Site).
  • No medical advice on marketing pages. Clinical advice is provided only within an established clinician–patient relationship through our EMR/telehealth platforms.
  • You must be 18+ (or a parent/guardian for a minor) and located in Maryland for clinical services.
  • Payments are cash‑pay only; deposits due at booking; balances due at session end (see §10 and Financial Policy).
  • We use third‑party tools (e.g., CliniClark EMR, Stripe, Zoom/Google Meet/Whereby) under applicable agreements.
  • Arbitration & class‑action waiver apply to most disputes (see §18).

1) Acceptance of Terms

By accessing or using the Site, creating an account or profile, submitting any information (including intake forms), or making a payment, you agree to these Terms and to our Privacy Policy, Notice of Privacy Practices (NPP), Financial Policy, Telepsychiatry Consent, Messaging & Communications Policy, and Cookie & Tracking Disclosure (collectively, the Policies). If you do not agree, do not use the Site.

2) Scope of the Site; No Medical Advice on Marketing Pages

The Site includes informational pages, scheduling links, intake forms, payment links, and patient‑portal entry points. Marketing and informational content is not medical advice. Clinical advice is provided only by a licensed clinician after a clinician–patient relationship is established and documented in the EMR. Telehealth visits are virtual‑only with location verification at each visit. We do not provide emergency or on‑call coverage outside stated hours.

3) Eligibility; Minors

You must be 18 or older to use the Site independently. Parents/guardians may use the Site on behalf of a minor patient and must complete all required consent and minor‑assent forms. We limit clinical services to individuals physically located in Maryland at the time of service, subject to clinician licensure and state law.

4) User Responsibilities

You agree to:
  • Provide accurate, current information and keep your contact details up to date.
  • Use designated secure forms/portals for clinical matters and not submit PHI through unsecure channels.
  • Join telehealth visits from a private location using updated software and refrain from recording without written consent.
  • Maintain the confidentiality of your portal credentials and notify us of suspected unauthorized access.
  • Use the Site only for lawful purposes and in compliance with these Terms and applicable law.

5) Prohibited Conduct

You may not: (a) attempt to gain unauthorized access to the Site, EMR, or networks; (b) interfere with or disrupt the Site; (c) mine, scrape, or harvest data except through permitted interfaces; (d) upload malware or harmful code; (e) impersonate others or misrepresent your affiliation; (f) submit unlawful, threatening, defamatory, or otherwise inappropriate content; or (g) use the Site in a way that violates another’s rights, privacy, or applicable law.

6) Privacy; PHI

Your use of the Site is subject to our Privacy Policy. Protected Health Information (PHI) collected for care is handled under HIPAA and governed by our Notice of Privacy Practices (NPP). If these Terms or the Privacy Policy conflict with the NPP regarding PHI, the NPP controls.

7) Intellectual Property; Limited License

The Site, including text, graphics, logos, icons, and software, is owned by ijayMD or its licensors and protected by law. We grant you a limited, nonexclusive, revocable license to access and use the Site for its intended purposes. You may not copy, modify, distribute, create derivative works, or use any content for commercial purposes without our written permission.

8) Third‑Party Services & Links

We may integrate or link to third‑party services (e.g., CliniClark EMR, Stripe checkout, Zoom/Google Meet/Whereby telehealth). These are governed by their own terms and privacy policies. We are not responsible for third‑party sites/services; review their terms before use.

9) Scheduling; Virtual‑Only Care; Out‑of‑Scope Triage

Scheduling is subject to availability. We verify patient location at each visit and may triage out patients whose needs fall outside our scope (e.g., acute psychosis, unstable mania, detox). We will provide crisis resources and, when feasible, referrals. We do not guarantee medication prescriptions; controlled substances are never promised prior to evaluation and are managed conservatively with PDMP checks and UDS as indicated.

10) Payments; Deposits; Cancellations

We are cash‑pay only and do not accept insurance or submit claims. A deposit is required at booking; the balance is due at session end. Cancellation with <48 hours’ notice: 20% of deposit forfeited. No‑shows: full deposit forfeited. Payments are processed by Stripe. See our Financial Policy for details, including Good Faith Estimate information for self‑pay.

11) Communications

Routine logistics (e.g., appointment reminders) may occur by email/SMS; we avoid PHI in these channels unless secure options are configured and you consent. Care communications occur via the EMR/telehealth platforms per our Policies.

12) Consent to Electronic Communications & Signatures

You consent to receive notices and transact electronically (E‑SIGN) and agree that your electronic signatures/checkboxes on the Site and EMR have the same effect as handwritten signatures to the extent allowed by law.

13) Disclaimers

THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, IJAYMD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. We do not warrant uninterrupted, error‑free operation or that defects will be corrected.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IJAYMD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE AFFECTED TRANSACTION(S) IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. NOTHING HERE LIMITS LIABILITY WHERE PROHIBITED BY LAW (e.g., willful misconduct).

15) Indemnification

You agree to indemnify, defend, and hold harmless ijayMD and its principals from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or third‑party rights.

16) Changes to the Site or Terms

We may modify or discontinue the Site (in whole or part) at any time. We may update these Terms from time to time; the Effective Date above reflects the latest version. Material changes will be posted on this page and, when appropriate, communicated by reasonable means. Continued use after changes means you accept the updated Terms.

17) Governing Law; Venue

These Terms are governed by the laws of the State of Maryland, without regard to conflicts‑of‑law rules. Subject to §18 (Arbitration), the exclusive venue for any court action will be the state and federal courts located in Baltimore, Maryland, and you consent to their jurisdiction.

18) Arbitration Agreement; Class‑Action & Jury‑Trial Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS. (a) Agreement to Arbitrate. Except for claims that qualify for small‑claims court, you and ijayMD agree that any dispute, claim, or controversy arising out of or relating to the Site or these Terms will be resolved by final and binding arbitration administered by a reputable arbitration provider under its applicable rules. The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this arbitration agreement. (b) Procedures. The arbitration will be conducted by a single arbitrator, seated in Maryland, in English. The arbitrator may award relief that would be available in court, subject to these Terms. Either party may seek provisional remedies in court to preserve the status quo pending arbitration. (c) Class‑Action and Collective‑Action Waiver. YOU AND IJAYMD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any form of representative or class proceeding. (d) Opt‑Out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending a written notice to support@ijayMD.com with the subject line “Arbitration Opt‑Out.” Your opt‑out will not affect other provisions of these Terms. (e) Exception—Injunctive Relief for IP/Website Abuse. Either party may bring an action in court for injunctive or other equitable relief to prevent or stop misuse of the Site, data‑security incidents, or infringement of intellectual property.

19) Suspension/Termination

We may suspend or terminate your access to the Site at any time for any violation of these Terms or misuse of the Site. Sections that by their nature should survive (e.g., §§7, 13–18) will survive termination.

20) Miscellaneous

  • Entire Agreement. These Terms and the Policies are the entire agreement between you and ijayMD regarding the Site and service.
  • Severability. If any provision is found unenforceable, the remainder remains in effect.
  • No Waiver. Failure to enforce a provision is not a waiver of that provision.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or transfer.
